These Terms of Service ("Terms") govern your access to and use of the DispatchShield website and application (the "Service") provided by DispatchShield ("DispatchShield," "we," "us," or "our"). By creating an account, accepting an invitation, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.
1. The Service
DispatchShield provides software that helps service businesses manage jobs, invoices, approvals, payments, and recovery workflows. Specific features available to you depend on your subscription plan and role within your workspace.
2. Accounts and Eligibility
- You must be at least 18 years old and able to enter a binding contract.
- You are responsible for keeping your credentials confidential and for all activity under your account.
- Notify us promptly at support@getdispatchshield.com of any unauthorized use.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Upload content that infringes intellectual property or privacy rights.
- Interfere with, probe, or disrupt the Service or its infrastructure.
- Reverse-engineer, resell, or use the Service to build a competing product.
- Send unsolicited communications through the Service in violation of applicable law.
4. Customer Data
You retain all rights to the data you submit to the Service ("Customer Data"). You grant DispatchShield a limited license to host, process, and transmit Customer Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for the accuracy and lawfulness of Customer Data, including ensuring you have the right to enter information about your customers and team members.
5. Subscriptions, Fees, and Payment
- Paid plans are billed in advance on a recurring basis.
- Fees are non-refundable except where required by law.
- We may change pricing with reasonable advance notice. Changes apply to renewals after the notice period.
- You are responsible for applicable taxes.
6. Third-Party Services
The Service may integrate with third-party services (for example, Google Sign-In, payment processors, or mapping providers). Your use of those services is subject to their own terms and privacy policies. DispatchShield is not responsible for third-party services.
7. Suspension and Termination
We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for DispatchShield, or fail to pay applicable fees. You may stop using the Service at any time. Upon termination, your right to use the Service ends; provisions that by their nature should survive will survive.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. DispatchShield does not warrant that the Service will be uninterrupted, secure, or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, DispatchShield and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising from or related to the Service will not exceed the amounts paid by you to DispatchShield in the twelve months preceding the event giving rise to the claim.
10. Indemnification
You will defend, indemnify, and hold harmless DispatchShield from any claims, damages, and expenses arising from your Customer Data, your use of the Service, or your violation of these Terms.
11. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. Material changes to the Terms will be communicated through the Service or by email. Continued use after the effective date of revised Terms constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the United States and the state in which DispatchShield maintains its principal place of business, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located there.
